Part A – General provisions

A1 Provider and scope

(1) These Terms apply to all contracts between Kerstin Bachler, sole proprietor (Einzelunternehmerin) trading as “FullStacc™”, advertising agency (Werbeagentur), Kahlspergstraße 50/7, 5411 Oberalm, Austria, contact: via the contact form on fullstacc.com, VAT ID (UID): ATU80440248 (the “Provider”), and its clients (“Client”).

(2) The Provider offers its services exclusively to businesses (Unternehmer within the meaning of § 1 Austrian Consumer Protection Act, KSchG, or comparable foreign law), i.e. persons acting for purposes of their trade, business or profession. Services are not offered to consumers. The Provider may ask for proof of business status (e.g. VAT ID, company register or trade register extract) before making an offer.

(3) FullStacc™ is a private, application-only marketing agency. Every application or enquiry is a non-binding request to be considered. There is no right to admission or to conclude a contract. The Provider may decline any application without giving reasons.

(4) The Client's own terms apply only if the Provider expressly agrees to them in writing.

A2 Prices and VAT

(1) All prices are in euros. Small business owner pursuant to § 6 (1) 27 Austrian VAT Act (UStG) – no VAT charged.

(2) Any taxes, duties or bank charges arising in the Client's country (for example withholding taxes) are borne by the Client, unless mandatory law provides otherwise.

A3 Liability

(1) The Provider is liable for damage only in cases of intent or gross negligence. This limitation does not apply to personal injury.

(2) Liability is limited to the net fee of the affected order (except for intent and personal injury). Liability for lost profit, indirect damage and third-party claims is excluded. Claims must be asserted in court within six months of becoming aware of the damage, and no later than three years after the act giving rise to the damage.

A4 Data protection

See our Privacy Policy. Where the Provider processes personal data on the Client's behalf, the parties conclude a data processing agreement (Art. 28 GDPR).

A5 Governing law and jurisdiction

(1) These Terms and all contracts are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The exclusive place of jurisdiction is the Bezirksgericht Hallein, or the court with subject-matter jurisdiction for 5411 Oberalm. The Provider may also sue the Client at its general place of jurisdiction.

(3) Dispute resolution: see the information in our Legal Notice.

A6 Language, final provisions

These Terms are available in German and English. In case of discrepancies, the English version prevails. If any provision is invalid, the remaining provisions remain unaffected, and the invalid provision is replaced by a valid provision that comes closest to its economic purpose.

Part B – Agency Services (businesses only)

B1 Services

(1) The Provider offers, among others, the following services. “From” prices are indicative only and are not an offer. The binding scope and price are set out exclusively in the individual written offer (B2):

  • Full Homepage Marketing Engine – from € 5,997. Your homepage, built as your strongest advertisement — positioning, brand and content concept, copy and design, kept fresh with new content.
  • Video Marketing – from € 2,997. An advertising film for the page people land on. It says what you do in the time a visitor will actually give you.
  • Online Marketing & Campaigns – from € 3,997. Campaigns that reach the right customers — social media, online ads and content, planned, created and measured.
  • Brand & Content Strategy – from € 2,997. One clear brand voice and content plan, so every page, post and campaign says the same thing — and your team always knows what to publish next.

No VAT charged – see A2.

(2) Services are provided within the scope of the advertising agency trade licence (Werbeagentur). They do not include IT services (such as software development, system integration, or implementing AI, bots or automations in the Client's business processes), nor legal, tax or management consulting (Unternehmensberatung). Where an advertising project needs technical work outside this scope, it is carried out by duly licensed partners. Unless expressly agreed, the Provider owes the agreed service, not a particular commercial success (e.g. reach, leads, revenue).

B2 Conclusion of contract, client confirmation

(1) An application (e.g. via the website form or by email) is a non-binding request and does not create any obligation for either party. There is no right to admission; the Provider may decline an application without giving reasons.

(2) A contract comes into being only when the Provider makes an individual written offer (email is sufficient) and both parties accept it in writing. The individual offer is valid for 30 days unless it states otherwise. Information on the website, in conversations or in calls before the written offer is non-binding.

(3) By applying and by accepting the offer, the Client confirms that it is acting in the course of its trade, business or profession and not as a consumer. The Client provides its VAT ID or business registration details on request. If this confirmation is false, the Client is liable for any resulting damage, and the Provider may withdraw from the contract.

B3 Client cooperation

(1) The Client provides all information, materials, access credentials and approvals needed, on time and free of charge. Delays caused by the Client extend deadlines accordingly, and any additional effort is charged at 679 € per hour.

(2) The Client warrants that it holds all rights to the materials it provides (texts, images, logos, videos, data) and indemnifies the Provider against third-party claims arising from them. The Client is responsible for the legal review of advertising content (in particular competition, trademark and data protection law). Where deliverables contain AI-generated images, audio or video, the parties agree before publication on any labelling required under the EU AI Act.

B4 Changes, corrections, acceptance

(1) The quote includes 2 correction rounds. Further changes or extensions of scope are charged separately on the basis of a supplementary written offer or at 679 € per hour.

(2) Deliverables are deemed accepted if the Client does not raise justified, specific defects in writing within 10 working days of delivery, or if the Client uses them productively.

B5 Payment

(1) Unless otherwise agreed: 50% on order, the balance on delivery or acceptance. Invoices are due within 14 days without deduction. For retainers or recurring services, payment is due monthly in advance.

(2) In case of late payment, statutory default interest under § 456 Austrian Commercial Code (UGB) applies, together with reasonable collection costs. The Provider may suspend work until outstanding amounts are paid.

B6 Third-party tools (including AI tools)

Services may involve third-party tools and platforms (e.g. AI-assisted creative tools, website builders, hosting, social media and ad platforms). The respective provider's terms apply to them. Unless otherwise agreed, licence, usage and API fees are borne by the Client. The Provider is not liable for outages, changes in functionality or price changes by such providers. AI-generated output is checked with reasonable care, but the Client must review it before publication.

B7 Rights of use

(1) Until payment in full, the Client receives a non-exclusive right to use the deliverables for the agreed purpose. Once paid in full, that right is exclusive, unlimited in time and territory. Copyright (Urheberrecht) remains with the respective creator; any transfer of usage rights beyond the agreed purpose requires a separate agreement.

(2) Drafts, raw data, source and project files, prompts and templates remain the Provider's property unless expressly sold. The Provider may mention the Client and the project as a reference, unless the Client objects in writing.

B8 Warranty, termination

(1) The Provider first has the right to remedy defects. Warranty claims by businesses expire 6 months after delivery (§ 933 Austrian Civil Code, ABGB, may be shortened between businesses).

(2) Ongoing contracts may be terminated with 1 month's notice to the end of a month, unless a minimum term has been agreed. If a project is cancelled by the Client, services already performed and costs incurred are charged, and § 1168 ABGB applies.
